This page explains the key policies that apply when you buy from or use products and services from DG Technologies.
Who we are
In these policies, “DG Technologies,” “we,” “us,” and “our” mean Dearborn Group, Inc., doing business as DG Technologies, a Dearborn Group Company. “You” and “your” mean the person or company buying or using our products, software, or services.
How this page works
Each policy below covers a specific topic, such as orders, shipping, returns, warranty, privacy, and software licensing. Our full Terms are at the bottom of the page. If a signed agreement or written quote with us says something different from these policies, that agreement or quote applies.
Changes to our policies
We may update these policies from time to time. The “Last updated” date below shows when the latest changes took effect. Using our products or services after an update means you accept the updated policies.

Ordering & Payment Policy
Payment methods
We accept Visa, Mastercard, American Express, and Discover. If you order through our website, you can also pay with PayPal.
Established customers can pay by purchase order. If you’re approved, we’ll send an invoice after your order is delivered, and you can pay by check. [CONFIRM: payment terms, e.g., Net 30]
When you’re charged
- Online orders: Your card or PayPal account is charged when you place your order.
- Phone orders: Your card is charged before your order ships.
Purchase orders and credit approval
Established customers may pay by purchase order (PO), subject to credit approval. Here’s how it works:
- Approval. We may approve or decline PO terms at our discretion. Approval may depend on your credit history, order size, and payment record with us.
- Payment terms. If approved, we’ll invoice you after your order ships or is delivered. [CONFIRM: Net 30 / Net 45 / other] Payment is due by the date on the invoice.
- Prepayment. We may require full or partial prepayment, or payment by credit card, for any order. This may apply to new customers, large orders, or accounts with past-due balances.

- Changes. We may change or withdraw PO terms at any time, including for orders already placed but not yet shipped.
Order acceptance and cancellation
We must accept your order. Placing an order is an offer to buy. A contract is formed only when we accept it, which happens when we ship your order or send you written confirmation, whichever comes first. A confirmation email that only says we received your order is not acceptance.
We may decline or cancel an order. We can refuse, limit, or cancel any order, before or after we’ve confirmed it, for reasons including:
- The product is unavailable or discontinued
- There is an error in pricing or product information
- We can’t verify your payment or identity
- We suspect fraud or unauthorized use
- We can’t ship to your location
- The order would violate a law or this policy
If we cancel an order after you’ve paid, we’ll refund the amount charged to your original payment method.
Changing or canceling your order. To change or cancel an order, contact us as soon as possible at (248) 888-2000 or [ADD EMAIL]. We can only make changes before your order ships. Pricing and product information
We work hard to keep prices and product details accurate, but errors can happen. If we find an error in the price or description of something you ordered, we may:
- Correct the error and contact you to confirm whether you still want the order, or
- Cancel the order and refund you in full
We’re not required to fill an order at an incorrect price, even if we’ve confirmed the order or charged your payment method.
Prices are in U.S. dollars and may change without notice. Prices don’t include shipping, handling, taxes, or duties unless we say so. [CONFIRM: whether quotes have a validity period, e.g., 30 days.]
Sales tax
We collect sales tax where required by law. The tax is based on the shipping address and is shown at checkout or on your invoice.
If you’re exempt from sales tax, send us a valid exemption or resale certificate before your order ships. We can’t refund tax on past orders unless the law requires it. [CONFIRM: process for submitting certificates, such as an email address.]
Customs, duties, and import fees (international orders)
For orders shipped outside the United States:
- You are responsible for all import-related costs. This includes customs duties, tariffs, VAT, GST, brokerage fees, and any other taxes or fees charged by the destination country or the carrier.
- These costs are not included in our product prices, shipping charges, or handling fee. They may be collected by the carrier at delivery or billed to you afterward.
- Check local rules before ordering. You’re responsible for knowing whether the products can be legally imported and used in your country, and for any permits, licenses, or certifications required there.
- Refused or unclaimed shipments. If a shipment is refused, abandoned, or returned because duties or fees weren’t paid, we may charge you for the shipping, return, and handling costs. [CONFIRM: whether DG will refund the remainder.]
Delivery times for international orders are estimates. Customs processing can cause delays that are outside our control.
Declined and fraudulent payments
- Declined payments. If your payment is declined or can’t be processed, we may hold or cancel your order. We’ll try to contact you, but we aren’t required to.
- Verification. To protect you and us, we may ask for additional information to verify your identity, payment method, or shipping address before we process or ship an order. We may delay or cancel an order if we can’t complete verification.
- Fraud. We may cancel any order we reasonably suspect is fraudulent, and we may report suspected fraud to payment processors, law enforcement, and other authorities.
- Chargebacks. If you have a problem with an order, please contact us first so we can try to resolve it quickly. If you dispute a charge with your card issuer, we may provide them with records about your order. [CONFIRM: whether DG suspends accounts or charges a fee after chargebacks.]

Export compliance
Our products, software, and technology may be subject to U.S. export control and sanctions laws, including the Export Administration Regulations (EAR) and regulations administered by the Office of Foreign Assets Control (OFAC). Other countries’ laws may also apply.
By placing an order, you confirm and agree that:
- You will follow all applicable export, re-export, and import laws. You will not export, re-export, sell, transfer, or release our products, software, or technology in violation of those laws.
- You are not a restricted party. You are not on any U.S. or other government list of prohibited or restricted parties, and you are not owned or controlled by anyone who is.
- You will not use our products for prohibited purposes. This includes any use connected to weapons of mass destruction, missiles, or military end uses that are restricted by law.
- You will not send our products to embargoed or sanctioned countries or regions, or to anyone in them.
- You’ll give us information we ask for. We may ask for details about the end user, end use, and destination before we ship, and we may require an export license or other documents.
We may refuse, hold, or cancel any order if we believe shipping it would or could violate any law, or if you don’t give us information we reasonably request. This applies even if we’ve already accepted the order. If we cancel for this reason, we’ll refund any amount you paid, unless the law prohibits us from doing so.
You are responsible for any penalties, losses, or costs that result from your violation of these requirements. Export laws change often, so the list of countries we can’t ship to may change without notice.
Shipping
All orders ship from our headquarters in Farmington Hills, Michigan, by FedEx or UPS.
Within the United States
Most orders ship by Ground service for about $20 USD. Faster options include 2nd Day Air and Next Day Air. Final shipping costs are shown at checkout.
Outside the United States
We offer Priority and Economy international shipping. International orders also include a handling fee of $5 to $10 USD.
Where we can’t ship
P.O. boxes. We can’t ship to P.O. boxes. Please provide a street address.
Restricted countries and regions. We follow U.S. export control and sanctions laws, which limit the countries, regions, and parties we can sell and ship to. These restrictions change over time. To check whether your location or organization is affected, please review the current information from the U.S. government:
- U.S. Department of the Treasury, Office of Foreign Assets Control (OFAC): sanctions programs and country information
- U.S. Department of Commerce, Bureau of Industry and Security (BIS): export controls and country guidance
If your location is subject to U.S. restrictions, we can’t accept or ship your order. We may also decline to ship to other destinations for business, legal, or regulatory reasons, and we may ask for more information about your order before we ship.
Laptops and OEM software
Laptops and OEM software ship within the United States only.
Warranty Policy
Warranty coverage
DG Technologies warrants that our products will be free from defects in materials and workmanship for the periods below, starting on the date the product ships to you.

What we’ll do
If a covered product proves defective during the warranty period, we’ll repair or replace it at no charge. We decide whether to repair or replace. Replacement products may be new or refurbished.
You’re responsible for the cost of shipping the defective product to us. [CONFIRM: who pays return shipping to the customer. The original is silent.]
What isn’t covered
This warranty doesn’t cover damage or failure that we determine was caused by:
- Misuse, abuse, or negligence
- Improper assembly or installation
- Modification or alteration of the product
- Operation outside the product’s instructions or specifications
How to make a warranty claim
- Call Technical Support at (248) 888-2000 to request a Return Merchandise Authorization (RMA) number.
- Include the RMA number with the product you send back. Returns without an RMA number may be delayed or refused.
- Ship the product to us as instructed by Technical Support.

Warranty after a repair
A repaired DPA XL, VSI NxGen, VSI NxGen Pro, is warranted for 90 days after the repair, or until the end of its original warranty period, whichever is longer.
Limitations and Disclaimers
Disclaimer of other warranties
The warranty above is the only warranty we provide. To the maximum extent permitted by law, DG Technologies and our suppliers disclaim all other warranties and conditions, whether express, implied, or statutory. This includes any implied warranty of merchantability, fitness for a particular purpose, freedom from viruses, accuracy or completeness of results, and lack of negligence. Support services are provided “as is.”
You use the device, its operating system components, and any support services at your own risk.
Exclusion of certain damages
To the maximum extent permitted by law, DG Technologies and our suppliers are not liable for any special, incidental, indirect, or consequential damages. This includes, for example, lost profits, lost data or confidential information, business interruption, loss of privacy, and any other financial loss related to using, or being unable to use, our products or support services. This applies even if we were told such damages were possible.
Limit on our liability
To the maximum extent permitted by law, the total liability of DG Technologies and our suppliers for any claim will not exceed the price you paid for the product that is the subject of the claim.
Changes to products and documentation
We may update or change our products, software, and documentation at any time without notice.
Governing law and venue
Michigan law governs this policy and any dispute related to our products or services, without regard to conflict-of-law rules. You agree to the jurisdiction of the state courts located in Oakland County Michigan.
Returns, Refunds & Exchanges Policy
Returning a product (30-day return)
You can return most products within 30 days of delivery for a refund, less a 20% restocking fee.
To qualify, the product must be:
- In original, resalable condition
- Complete, with all accessories, cables, manuals, and packaging
- Returned with an RMA number (see below)
Items that can’t be returned, such as software with a license key, custom or special-order items, or opened OEM software and laptops.
Original shipping and handling charges are non-refundable. You’re responsible for the cost of shipping the product back to us. We’ll refund the purchase price, minus the restocking fee, to your original payment method within 30 business days after we receive and inspect the return. If the product isn’t in the condition described above, we may reduce the refund further or decline the return.
Exchanges
Exchanges are handled as a return plus a new order, with repairs.
Products that aren’t working (warranty or out of warranty)
In warranty: Please see our Warranty Policy. We’ll repair or replace covered products at no charge.
Out of warranty: There’s a $50 diagnostic fee, plus the cost of any repair. We’ll send you a quote and get your approval before starting repairs.

How to return a product Return Merchandise Authorization (RMA) number
- Contact Technical Support. If we think there may be a physical problem with your product, or if you want to return it, we’ll give you a Return Merchandise Authorization (RMA) number.
- Pack your product. Include the RMA number and proof of purchase (such as your invoice or receipt). Please write the RMA number clearly on the outside of the box.

Shipping & Delivery Policy
Where and how we ship
All orders ship from our headquarters in Farmington Hills, Michigan, using UPS. See “Where we can’t ship” in our Ordering & Payment Policy for destination restrictions.

Delivery times are measured from the time UPS picks up your order, not the time you place it.
Most U.S. orders ship by UPS Ground for about $20 USD. Your exact shipping cost is shown at checkout. [CONFIRM: flat rate or calculated by weight, size, and destination. Also confirm whether DG offers free shipping thresholds or accepts customer UPS account numbers.]
Outside the United States
We offer UPS international services, such as Worldwide Saver and Worldwide Expedited. You are responsible for customs duties, taxes, and import fees. See “Customs, duties, and import fees” in our Ordering & Payment Policy.
Order processing time
Orders placed [CONFIRM: before a cutoff time, e.g., 2:00 p.m. Eastern] on a business day usually ship within [CONFIRM: e.g., 1 to 2] business days. Orders placed after the cutoff, on weekends, or on holidays ship the next business day. Business days are Monday through Friday, excluding U.S. federal holidays. [CONFIRM.]
Processing may take longer for:
- Back-ordered, custom, or special-order items
- Orders that need payment, identity, or export verification
- Orders affected by high demand or supplier delays

Tracking
When your order ships, we’ll email you a UPS tracking number. [CONFIRM: whether DG sends this automatically.] Tracking information may take up to 24 hours after shipment to update. You can track your package at ups.com or through the UPS mobile app.
Delivery estimates are not guarantees
Delivery dates are estimates. Delays can result from weather, carrier volume, customs, incorrect addresses, or other events outside our control. We aren’t responsible for delays caused by UPS or other third parties. If you paid for an expedited service and UPS misses its guaranteed delivery time, you may be entitled to a refund of the shipping charge from UPS under its own service terms. Shipping address
Please check your shipping address carefully before you place your order. We ship to the address you give us.
- If your address is wrong or incomplete, the package may be delayed, returned to us, or lost.
- If you notice a mistake, contact us right away at (248) 888-2000. We can only change an address before the order ships.
- If a package is returned because of an incorrect address or because no one accepted delivery, you may have to pay for shipping again.
Signature and delivery requirements
Orders may require an adult signature. If no one is available to sign, UPS may leave a notice and try again. After UPS’s attempts, the package may be held at a UPS location or returned to us.
If you want your package held at a UPS Access Point or retained for pickup.
Risk of loss, loss in transit, and damage
Inspect your package when it arrives. Before you accept it, look for visible damage to the box. If the box is damaged, tell the UPS driver and note it on the delivery record if you can.
Keep all packaging. If your product is damaged or something is missing, keep the product, the box, and all packing materials. UPS may need to inspect them, and we may need them to file a claim.
Report problems quickly. Contact us within [CONFIRM: e.g., 5 business days] of delivery if your package is damaged, if items are missing, or if you received the wrong item. Tell us your order number and include photos of the box, shipping label, and product. For packages marked delivered that you didn’t receive, contact us within [CONFIRM: e.g., 5 business days] of the delivery date, after checking with neighbors and your building’s mail or receiving area.
What we’ll do. If your order is lost, damaged, or incorrect due to shipping or our error, we’ll work with you and UPS to [CONFIRM: repair, replace, or refund] your order. [CONFIRM: whether DG files the carrier claim or requires the customer to.]
Insurance. UPS includes limited basic coverage; higher-value shipments often need declared value.
Risk of loss. Risk of loss passes to you when we hand the package to UPS.
Packages marked “delivered” but not received
If your tracking shows a package as delivered, but you can’t find it:
- Check around your property, with neighbors, and with anyone else at your address.
- Look for a UPS delivery notice or photo confirmation.
- Contact us within [CONFIRM] days. We may ask you to file a report with UPS. [CONFIRM: DG’s policy on packages left without a signature.]
International shipments
- Customs. International packages go through customs. Delays and inspections are common and outside our control.
- Duties and fees. You are responsible for duties, taxes, and fees. UPS may collect them at delivery or bill you afterward.
- Accurate information. We declare the contents and value of your order as required by law. We can’t mark shipments as gifts or lower the declared value.
- Refused shipments. If a package is refused or abandoned, or if fees go unpaid, we may charge you for shipping and handling. See our Ordering & Payment Policy.
- Export rules. International orders are subject to U.S. export laws. See the Export compliance section of our Ordering & Payment Policy.
Laptops and OEM software
Laptops and OEM software ship within the United States only. [CONFIRM: any special shipping or signature rules.]
Hazardous materials and batteries
Some products, including those with lithium batteries, are subject to carrier and government shipping restrictions. These may limit shipping methods, destinations, or delivery speed. We may choose a different service or decline to ship to certain destinations to comply with these rules.
Holidays and peak seasons
Carrier volume is higher during peak periods, and shipping times may be longer. We recommend placing orders early.

Hardware Warranty Policy
Our hardware is warranted against defects in materials and workmanship, starting on the date the product ships to you. This includes network communication analyzers, interfaces, and development tools, along with directly associated accessories and peripherals. It doesn’t include parts and supplies.

If your product’s specifications, manual, or documentation state a different warranty period, that period applies.
What we’ll do
If a covered product is defective during the warranty period, we’ll repair or replace it at no charge. We decide whether to repair or replace. Replacement products may be new or refurbished. You’re responsible for shipping the product to us. [CONFIRM: who pays return shipping to you.]
This warranty doesn’t cover damage or failure caused by misuse, abuse, negligence, improper assembly, or modification of the product. [CONSIDER ADDING: normal wear and tear, accidents, water or fire damage, unapproved accessories, and repairs by anyone other than DG.]
How to make a warranty claim

- Include the RMA number and proof of purchase with your product.
- Ship the product to the address in our Returns, Refunds & Exchanges Policy.
Returns without an RMA number may be delayed or refused.
Extended warranty
You can extend a warranty of one year or longer by 1 or 2 years. [CONFIRM: that this is still offered, and whether the extension must be purchased before the original warranty expires, as the 2017 version said.]

Extended warranties have the same coverage and exclusions as the standard warranty unless your quote or agreement says otherwise. [ATTORNEY: confirm.]
Trade-in program
You can trade in an older DG product toward a new one. The credit depends on the product and its condition. We sometimes offer special promotions to make upgrading more affordable.

Maintenance Agreement (MA)
A Maintenance Agreement is a long-term plan that keeps your DG products up to date. It can be bundled with an extended warranty. It covers software and firmware access and support. It doesn’t cover hardware changes.
What’s included
- Software and firmware updates. A licensed copy of the program that updates (flashes) the firmware on the DG products you own.
- Firmware and driver rights. Rights to all firmware and drivers for the DG products you own.
- Easy firmware selection. A point-and-click interface, built on our DLL, that lets you pick and download the firmware (.hex) file you need. [CONFIRM: the current tool name and whether this is still how updates work.]
- Flexible use. Use at one site or at multiple sites, as agreed. [CONFIRM: single-site and multi-site terms.]
- Support for custom software. If you’ve written your own software for DG products, you can manage your support requests. [CONFIRM: what this means in practice. The original wording is vague.]
What we’ll do for you
- Notify you of new driver releases
- Notify you of new firmware releases
- Post new releases in a secure area of our website, where you can sign in and download what you need. [CONFIRM: the current portal and login method, since “password for allowing customers access” is dated language.]

Software License Policy
Our software
DG software is included with our tools at no extra charge. There are no update fees and no per-seat license fees. [CONFIRM: see the Maintenance Agreement conflict in the notes below.]
You can download the software from our website, along with manuals and other helpful information, before you put your products into use.
Your license
DG Technologies grants you a non-exclusive, non-transferable license to install and use our software, free of charge, with DG products that you own or are authorized to use. [CONFIRM: “non-transferable” and the scope below.]
What you can do
- Install the software on as many computers as you need within your organization. There are no seat licenses.
- Move DG hardware from person to person or project to project. The software works with any DG hardware you have.
- Use the software to read the manuals and other included information before you use the hardware.
What you can’t do
- Sell, rent, lease, sublicense, or distribute the software to anyone outside your organization [CONFIRM: or to your customers, if you allow that for OEM or distributor partners]
- Copy the software except as allowed here
- Reverse engineer, decompile, or disassemble the software, except as the law allows
- Remove or change DG’s copyright notices or trademarks
- Use the software to violate any law, including export laws
- Use the software with products or services that you aren’t authorized to use
Ownership
DG Technologies and its suppliers own the software and all intellectual property in it. This policy gives you a license to use the software. It doesn’t sell you the software or transfer any ownership rights. [ATTORNEY: confirm and check for any open-source components that need separate notices.]
OEM software and manufacturer-specific data
DG tools can provide generic J1708/J1587 and CAN/J1939 diagnostic codes. For manufacturer-specific information, you may need to use OEM software from the vehicle or engine manufacturer.
- OEM software is offered by the manufacturers, not by DG. You can usually buy a daily, monthly, or annual subscription from their service websites.
- Prices, terms, and availability are set by the OEMs and can change at any time.
- Your use of OEM software is governed by the OEM’s own license and terms, not this policy.
- DG isn’t responsible for OEM software, its price, or its compatibility with your needs. [CONFIRM: whether DG warrants compatibility between its tools and specific OEM software.]

Note: This is different from “OEM software” sold by DG, which appears in our Ordering & Payment Policy as US-only. Consider using a different term to avoid confusing the two.
Updates
We make software updates available at no charge. [CONFIRM: whether free updates are limited to bug fixes and compatibility updates, and whether major new releases or features might cost extra.] We may change or discontinue software features, versions, or download availability at any time without notice. We don’t guarantee that older versions will be available. We may also require you to install updates to keep using certain features.

Software warranty and limits of liability
Software is provided “as is.” [ATTORNEY: confirm whether the hardware warranty covers software defects at all.] Our disclaimers of other warranties and limits of liability, set out in our Warranty Policy, apply to the software.
Use at your own risk. Vehicle diagnostics involve safety-critical systems. You’re responsible for how you use the software and the results, including any repairs, changes, or testing performed on a vehicle. Follow the manufacturer’s service procedures and applicable safety practices. [ATTORNEY: this warning matters more here than in a typical software policy.]
Termination
The license lasts until it’s ended. It ends automatically if you break these terms. When it ends, stop using the software and delete all copies. We may also end the license if we discontinue the software, with notice where reasonable. [CONFIRM.]

Governing law

About this policy
This policy explains the technical limits of DG Technologies products, software, and information. It applies together with our Warranty Policy, Software License Policy, and Ordering & Payment Policy. If this policy and a signed agreement or written quote conflict, the signed agreement or quote controls.
Changes to products and information
Product details, specifications, features, software, firmware, documentation, and the way our products and services operate may change at any time without notice. This includes information on our website, in manuals and quick start guides, and on our Product Updates and Downloads page. We try to keep information accurate and current, but we don’t guarantee that it’s complete or error-free. Check the documentation that came with your product, and our Product Updates page for the latest version.
Software and firmware updates
- Where to find updates. Our Product Updates and Downloads page lists the current software, firmware, manuals, and quick start guides for each product. Version numbers on that page are the current ones.
- How updates work. Most updates have two steps: run the installer, then run the firmware updater for your tool. Some products need an internet connection to update firmware. Others follow the instructions in the product’s quick start guide and user manual. If you skip a step or an update is interrupted, your tool may not work correctly.
- Updates are your responsibility. Install updates to keep your tool current, compatible, and secure. We don’t guarantee that older versions will keep working, stay available, or be supported.
- Back up first. Before you update, save your work and configuration. Don’t disconnect or power off the tool, or turn off your computer, during a firmware update. Interrupting an update can make a device stop working. [ATTORNEY: confirm whether DG will repair a device damaged by an interrupted update, and whether that’s a warranty issue.]

Legacy products and end of support
Some DG products are marked “Legacy” on our Product Updates page.
For legacy products:
- No further updates. We don’t provide new software, firmware, or security patches.
- Computer compatibility. Some legacy products rely on drivers that current operating systems, including Windows 11, no longer support. They may not work, or may work with limited performance, on newer computers.
- Limited or no technical support. Legacy products have no technical support.
- Warranty and repair. Legacy products have no technical support.
- Use at your own risk. If you keep using a legacy product, you accept the risks of compatibility, performance, and security issues.

Computer, vehicle, and network compatibility
Our tools work with specific operating systems, computers, vehicles, ECUs, networks, protocols, and OEM software. Compatibility can change. It depends on factors outside our control, including operating system updates, driver policies, and changes by vehicle manufacturers.
- Check your product’s documentation and the Product Updates page for supported systems and protocols before you buy or update.
- Our tools can read generic J1708/J1587 and CAN/J1939 codes. Manufacturer-specific data may require OEM software that we don’t control. See our Software License Policy.
- Vehicles and ECUs vary. We don’t guarantee that any tool will work with every vehicle, ECU, or function. [CONFIRM: supported-vehicle information and where customers can check it.]
Diagnostic and programming results
DG tools provide diagnostic information, pass-through communication, and ECU programming. Results can vary, and they can be wrong, incomplete, or unavailable. Don’t treat any DG tool as your only source of information.
- Verify results using the vehicle manufacturer’s service procedures and good professional judgment.
- ECU programming and reflashing can permanently damage a vehicle’s electronics if done incorrectly, interrupted, or done with the wrong files. Make sure the vehicle’s battery and power are stable, follow the OEM’s instructions, and use the correct software and calibration files.
- DG doesn’t provide vehicle repair advice. Repair decisions and work are your responsibility and the responsibility of the person doing the work.
Safety
Vehicle diagnostics and programming can involve moving parts, high voltage, stored energy, and safety systems such as airbags, brakes, and steering.
- Only trained, qualified people should use DG tools on vehicles.
- Follow the vehicle manufacturer’s safety procedures and all applicable laws and workplace safety rules.
- Use the cables, power sources, and accessories described in the product documentation. Don’t use damaged or unapproved equipment.
- Don’t use DG tools in a way that could interfere with safe vehicle operation, such as modifying a vehicle during operation. [ATTORNEY: confirm and expand.]
Cybersecurity
Connecting a tool to a vehicle or a computer can create security risks. You’re responsible for keeping your computers, networks, accounts, and DG software up to date and protected. Legacy products and unsupported software won’t receive security patches. Don’t connect them to networks or vehicles where a security risk would be unacceptable.
Emissions and legal compliance
You’re responsible for using DG tools in compliance with applicable laws, including emissions, anti-tampering, right-to-repair, and OEM licensing rules. Some functions, such as certain ECU changes, may be restricted on vehicles used on public roads.
Third-party products and websites
Our website, software, and documentation may refer to products, software, or websites from other companies, including OEM service sites. We don’t control them and aren’t responsible for their content, availability, pricing, terms, or accuracy.
Disclaimer of responsibility
To the maximum extent permitted by law, DG Technologies isn’t responsible for damage or loss caused by the use of, or inability to use, our hardware, software, firmware, documentation, or services, including damage caused by misuse, improper installation or updates, incompatible equipment, third-party software, legacy products, or failure to follow our instructions.
This policy doesn’t limit any liability that can’t be limited by law. For our warranty, warranty exclusions, disclaimers of other warranties, and limits of liability, see our Warranty Policy. 1. About these Terms
These Terms of Sale (“Terms”) apply to every order for products, software, and services from Dearborn Group, Inc., doing business as DG Technologies, a Dearborn Group Company (“DG Technologies,” “we,” “us,” or “our”). “You” means the person or company placing the order or using what you buy.
By placing an order, accepting a quote, or accepting delivery, you agree to these Terms. If you’re ordering for a company, you confirm you have authority to bind it.
What’s part of the agreement. These Terms include the policies listed below, which are part of the contract:

Which document wins. If documents conflict, this order applies: (1) a written agreement signed by an authorized DG Technologies representative, (2) our written quote, (3) these Terms, (4) the other policies. Terms in your purchase order, or other buyer documents, don’t apply unless we expressly accept them in writing. We object to any additional or different terms you propose.
2. Quotes and orders
- Quotes. A quote is valid for [CONFIRM: e.g., 30 days] unless it says otherwise. We may withdraw or change a quote before you accept it.
- Your order is an offer. We form a contract only when we accept your order, either by sending written confirmation or by shipping it, whichever comes first. A message that only confirms we received your order is not acceptance.
- We can decline or cancel. We may refuse, limit, or cancel any order for the reasons in our Ordering & Payment Policy, including unavailable products, pricing or product errors, payment or identity problems, suspected fraud, shipping restrictions, or legal compliance.
- Changes and cancellations. You can change or cancel an order only before it ships, with our written approval. [CONFIRM: cancellation fees for custom, special-order, or built-to-order items.]
3. Prices
- Prices are in U.S. dollars.
- Prices don’t include shipping, handling, taxes, duties, or other charges unless we say so.
- Prices can change without notice. The price on your accepted order or quote applies to that order. [CONFIRM: whether DG may add surcharges for tariffs or cost increases between quote and shipment.]
- We may correct pricing or product errors, as described in our Ordering & Payment Policy.
4. Payment
- Accepted methods. Visa, Mastercard, American Express, Discover, and PayPal (online orders). Established customers may pay by purchase order, subject to credit approval.
- When we charge. Online orders are charged when placed. Phone orders are charged before shipment.
- Credit terms. If we approve credit, payment is due on the invoice due date [CONFIRM: Net 30]. We may require prepayment, change or withdraw credit terms, or suspend shipments at any time.
- Late payments. Overdue balances may be charged [CONFIRM: late fee or interest, e.g., 1.5% per month or the maximum allowed by law], plus reasonable collection costs, including attorney fees, where the law allows. [ATTORNEY: confirm.]
- No setoff. You may not withhold or deduct payment for any claim you have against us unless we agree in writing.

5. Taxes, duties, and import fees
You’re responsible for all taxes, tariffs, duties, VAT, GST, customs, brokerage, and import fees tied to your order, other than taxes on our income. We collect sales tax where required. If you’re tax-exempt, give us a valid exemption certificate before your order ships. For international orders, you’re responsible for knowing and following the import laws in your country. See the Ordering & Payment Policy for details.
6. Shipping, delivery, title, and risk of loss
- Shipping. We ship from Farmington Hills, Michigan, using our selected carrier [CONFIRM: UPS, FedEx, or both] unless you request, and we approve, a different method. Details, restrictions, and costs are in the Shipping & Delivery Policy and Ordering & Payment Policy.
- Delivery dates are estimates. We aren’t liable for delays caused by carriers, customs, weather, or other events outside our control.
- Title and risk of loss. Risk of loss passes to you when we hand the goods to the carrier. Title passes at the same time, or on payment in full if you’ve chosen that approach.
- Shipping damage and loss. Inspect your delivery and report damage, shortages, or the wrong item within [CONFIRM: e.g., 5 business days]. See the Shipping & Delivery Policy for how to do this.
- Partial shipments. We may ship in parts and invoice each shipment separately.
7. Inspection and acceptance
Inspect your order when it arrives. Unless you tell us about a visible defect, shortage, or wrong item within [CONFIRM: e.g., 10 days] after delivery, you’re considered to have accepted it. Acceptance doesn’t waive your rights under the Warranty Policy for latent defects.
8. Returns and refunds
Our Returns, Refunds & Exchanges Policy applies. In general, you may return eligible products within 30 days for a refund, less a 20% restocking fee, with an RMA number. Products that arrive defective or that we shipped in error aren’t subject to the restocking fee. 9. Warranty
Our Warranty Policy and Warranty, Trade-In & Maintenance Agreement Policy set out our product warranties, the repair or replacement remedy, and the exclusions. Extended warranties, trade-ins, and Maintenance Agreements are governed by their own terms and this section.
THE WARRANTIES IN OUR WARRANTY POLICY ARE THE ONLY WARRANTIES WE GIVE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
10. Software and firmware
Software and firmware are licensed, not sold. Your use is governed by our Software License Policy. OEM software from vehicle or engine manufacturers is governed by the OEM’s own terms.
11. Technical use, safety, and compliance
You’re responsible for using our products properly, safely, and legally. Our Technical Notices & Disclaimers Policy describes limits on compatibility, diagnostic and programming results, legacy products, and safety. Our tools are intended for trained professionals. You’re responsible for complying with all laws that apply to your use, including emissions and anti-tampering laws.
12. Export and sanctions compliance
Our products, software, and technology are subject to U.S. export control and sanctions laws and may be subject to other countries’ laws. You agree to follow them, as stated in the Export compliance section of our Ordering & Payment Policy. We may refuse, hold, or cancel any order that we believe may violate the law.
13. Intellectual property
DG Technologies and our suppliers own all intellectual property in our products, software, firmware, documentation, trademarks, and website. Buying a product doesn’t give you any rights in our intellectual property, except the license in our Software License Policy. Don’t copy, reverse engineer (except as the law allows), or remove notices from our products or software.
14. Confidentiality
When/if customers receive pre-release products, pricing, or confidential technical information, add a short mutual confidentiality clause here.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(A) DG TECHNOLOGIES AND OUR SUPPLIERS AREN’T LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF USE, BUSINESS INTERRUPTION, OR VEHICLE DOWNTIME, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
(B) OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO AN ORDER WON’T EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT OR SERVICE THAT IS THE SUBJECT OF THE CLAIM.
These limits apply whatever the legal theory (contract, warranty, negligence, strict liability, or otherwise) and even if a remedy fails of its essential purpose. They don’t limit liability that the law doesn’t allow to be limited, such as for fraud, willful misconduct, or, where applicable, death or personal injury caused by our negligence.
16. Indemnity
If you’re a business customer, you agree to defend and indemnify DG Technologies against third-party claims, losses, and expenses (including reasonable attorney fees) arising from your misuse of our products, modification of our products, violation of law, or violation of these Terms.
17. Force majeure
We aren’t liable for delay or failure to perform caused by events beyond our reasonable control, including natural disasters, labor disputes, supply shortages, carrier or customs delays, cyberattacks, government actions, tariffs or trade restrictions, pandemics, or utility failures. We may allocate available products among customers as we see fit. If a delay lasts more than [CONFIRM: e.g., 60] days, either party may cancel the affected order, and we’ll refund any amounts you paid for products we didn’t ship.
18. Privacy
We collect and use personal information as described in our Privacy Policy.
19. Governing law and disputes
- Governing law. Michigan law governs these Terms and any dispute related to your order, without regard to conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods doesn’t apply.
- Courts. You and DG Technologies agree that any dispute will be brought in the state or federal courts located in [CONFIRM: Oakland County, Michigan, and the U.S. District Court for the Eastern District of Michigan], and you consent to their jurisdiction and venue.

20. General terms
- Entire agreement. These Terms, the policies they include, and any signed agreement or accepted quote are the whole agreement for your order. They replace earlier discussions.
- Changes to these Terms. We may update these Terms. Updates apply to orders placed or accepted after the “Effective date.”
- Assignment. You may not transfer your rights or obligations without our written consent. We may assign ours, including in a merger or sale of the business.
- Severability. If a part of these Terms is unenforceable, the rest still applies. We’ll replace the unenforceable part with a valid one that comes closest to the original intent.
- No waiver. If we don’t enforce a right, we haven’t given it up.
- Notices. Send notices to the address in Section 21. We may send notices to the email or address on your order.
- Survival. Sections that by their nature should continue after the order ends (payment, intellectual property, limitation of liability, indemnity, governing law) will continue.

A. EEA and UK (GDPR and UK GDPR)

International transfers. We transfer personal data to the United States and to our service providers. 1. Why we have this policy
Our tools are used in professional shops, fleets, and engineering labs for years. This policy explains how long we support each product, what support means at each stage, and what happens when a product reaches the end of its life, so you can plan upgrades and purchases.
This policy applies with our Warranty Policy, Warranty, Trade-In & Maintenance Agreement Policy, Software License Policy, and Technical Notices & Disclaimers Policy. The Product Updates and Downloads page shows each product’s current status and the latest software and firmware.
2. Lifecycle stages

3. What support includes
For current products
- Technical support by phone at (248) 888-2000 and by email at [ADD EMAIL]. U.S. hours are 9 a.m. to 5 p.m. Eastern Time [CONFIRM: days of the week, holidays, and hours or channels for customers outside the U.S.]. For faster help, include your name, product, serial number, order number, and a phone number.

What support doesn’t include
- Training in general vehicle diagnostics or repair, or advice on a specific vehicle repair
- Support for OEM software or manufacturer websites we don’t control
- Support for products that were modified, damaged by misuse, or used outside the documented specifications

We’ll make reasonable efforts to resolve problems, but we can’t guarantee a particular result or response time. [CONFIRM: any target response times, which you may prefer not to publish.]
4. How a product moves between stages
- Notice. When we plan to move a product to a later stage, we’ll update our website. We’ll also notify customers who have registered the product, Maintenance Agreement customers, and distributors by email, where we can. [CONFIRM: DG’s notice practice and lead time, for example “at least 90 days before the date, where practical.”]
- Dates. Each notice will state the effective date and what changes. [CONFIRM: whether DG is willing to publish dates in advance.]
- Factors. Timing depends on things such as product age, parts and component availability, supplier changes, operating system and driver support, security risks, regulations, and demand. Some of these are outside our control. [CONFIRM.]
- No fixed guarantee. Unless a signed agreement, quote, or Maintenance Agreement says otherwise, we don’t promise any minimum period that a product will be sold, supported, or repaired. [ATTORNEY: confirm, since a published minimum could become a binding commitment. If DG wants to offer one, such as “supported for at least X years after the last sale,” state it clearly here.]
- Last-time purchase. For products being retired, we may offer a final chance to buy units, parts, or extended warranties before the effective date. [CONFIRM.]
5. Legacy products
When a product reaches Legacy status:
- No new software, firmware, or security updates. The last released versions stay on our Product Updates page for as long as we can host them. We may remove old downloads. [CONFIRM: hosting commitment.]
- Computer and operating system compatibility. Some legacy tools depend on drivers that current operating systems, including Windows 11, no longer support. They may not work, or may have limited performance, on newer computers. We don’t plan to fix this.
- Technical support. [CONFIRM ONE: (a) No technical support. (b) Limited support, such as email only or best-effort for [X] months. Your current website says some legacy products have no support and is silent for others. This section should use one rule for all.]
- Repair and warranty. [CONFIRM: whether DG still repairs legacy products, on a time-and-materials basis (the $50 diagnostic fee plus repair cost from our Returns Policy), for as long as parts are available, or not at all. Say that in-warranty and extended-warranty coverage continues until it expires, if that’s true.]
- Documentation. Manuals and quick start guides stay available on the website when possible.
- Security. Legacy products won’t receive security patches. Don’t connect them to networks, computers, or vehicles where that risk isn’t acceptable. See our Technical Notices & Disclaimers Policy.
- Upgrade options. We encourage you to move to a current product. Ask about trade-in credit and upgrade pricing at (248) 888-2000 or sales@dgtech.com. [CONFIRM: sales email and whether the trade-in program covers each legacy product.]

6. End of life
When a product reaches End of Life, we stop providing technical support, repair, replacement parts, and updates. We may stop hosting downloads and documentation. Your license to use software you’ve already installed continues according to the Software License Policy, unless it states otherwise.
You can still use the product, but you do so at your own risk, and we can’t help if it stops working. Please consider upgrading.
7. If you’re a Maintenance Agreement or extended warranty customer
- Your agreement matters. The terms of your Maintenance Agreement, extended warranty, or signed contract continue to apply for their term, even if the product changes stage.
- If a product is retired during your term, we’ll [CONFIRM: honor the agreement through the end of its term; offer a pro-rated refund; or offer a replacement product or credit].
- Renewals. We may decline to renew or sell new agreements for Legacy and End of Life products.
8. Repair, parts, and spares
- Parts availability depends on suppliers. Electronic components can be discontinued. We may repair, replace with a functionally equivalent or newer item, or decline repair if parts aren’t available.
- Repairs follow our RMA process. See our Returns, Refunds & Exchanges Policy and Warranty Policy. Out-of-warranty repairs include the diagnostic fee and the cost of repair, with your approval before repair work begins.
- Accessories and cables. Availability of cables, batteries, and other accessories for older products may be limited.
- Unrepairable products. If a product can’t be repaired, we’ll tell you and discuss options, which may include trade-in credit on a current product.
9. Software, firmware, and compatibility
- Keep your tools up to date. Install updates from our Product Updates and Downloads page to keep your products current and compatible. We may stop supporting older software and firmware versions after a new version is released.
- Operating systems and computers. We test and support our current software on supported Windows versions, such as Windows 10/11 64-bit. We may stop supporting an operating system when the manufacturer ends support for it or when it creates security or compatibility risks.
- Vehicles and protocols. Vehicle manufacturers and standards bodies change systems over time. We update our current products’ coverage as we can, but we don’t guarantee support for any particular vehicle, ECU, model year, or function.
- Cybersecurity. For current products, we address security issues in line with our Vehicle Cybersecurity practices.
10. Registering your product
To receive lifecycle and security notices, register your product, create an account, or subscribe to our updates. Keep your contact information current. We aren’t responsible for notices we can’t deliver because of outdated contact details, but all notices will also be posted on our Product Updates page.
11. Trade-in and upgrades
We may offer trade-in credit and upgrade promotions to help you move to current products. Eligibility and credit depend on the product and its condition. See the Warranty, Trade-In & Maintenance Agreement Policy, or contact Sales.
12. Changes to this policy
We may update this policy at any time. The “Last updated” date shows the latest changes. Updates don’t reduce the terms of a signed agreement, accepted quote, warranty, or Maintenance Agreement that was already in effect.

Compliance Marks Policy
1. What this page covers
This page explains the regulatory marks and notices on DG Technologies products, and where to find compliance information for each product. Compliance depends on the product, the region, and the version, so check the documents for the product you own or plan to buy.
For product-specific details, see the product’s user manual, quick start guide, label, and the Product Updates and Downloads page. [CONFIRM: where DG will host declarations of conformity and certificates, such as a “Compliance Documents” section on each product page.]
2. United States: FCC
Electronic products sold in the U.S. that can emit radio-frequency energy must meet the Federal Communications Commission (FCC) rules in 47 CFR Part 15 or other applicable parts.
- Which products. [CONFIRM: list each product and its FCC status. Examples to check: DPA XL, VSI NxGen, VSI NxGen PLUS, LENS, Lodestar, Beacon.]
- Type of authorization. [CONFIRM: whether each product uses Supplier’s Declaration of Conformity (SDoC) or FCC certification (with an FCC ID). Products with intentional radio transmitters, such as Wi-Fi or Bluetooth modules, generally need certification and an FCC ID. Products without them are often covered by SDoC.]
- Responsible party. [CONFIRM: the U.S. responsible party name and address. For SDoC, this must be a U.S.-based entity, which may be DG.]
- Device class. [CONFIRM: Class A (commercial and industrial) or Class B (residential). This affects the required user notice.]
Where products carry it. FCC statements appear in the product manual, and on the product or its packaging as required. [CONFIRM: label or e-label practice.]
Standard FCC user notices. [ATTORNEY/COMPLIANCE: the wording is prescribed by the rules for each device class. Use the exact text from the test report or the FCC rules, not a paraphrase. Include the statement that the device complies with Part 15, that operation is subject to the two conditions (no harmful interference, and acceptance of interference received), and, where required, a warning that unapproved changes may void the user’s authority to operate the equipment.]
3. European Economic Area: CE marking
The CE mark shows the manufacturer’s declaration that a product meets the EU laws that apply to it. For DG’s products, these may include [CONFIRM which apply]:
- The EMC Directive (electromagnetic compatibility)
- The Radio Equipment Directive (RED) for products with radio functions, including its cybersecurity requirements
- The Low Voltage Directive for certain powered products
- The RoHS Directive (see Section 5)
- The Cyber Resilience Act, as it phases in for products with digital elements [ATTORNEY/COMPLIANCE: confirm whether and when it applies to DG’s products and what documentation, vulnerability handling, and reporting obligations follow]
What we provide. For CE-marked products, we make an EU Declaration of Conformity available at [ADD LINK or “on request”]. [CONFIRM.]
Who is responsible in the EU. [CONFIRM: DG’s EU importer or authorized representative, if one exists, with name and address. Rules generally require the manufacturer’s and importer’s contact details on the product, packaging, or documents.]
CE marking applies only to products placed on the EU market. If a product isn’t CE marked, say so plainly and don’t ship it to the EEA. [CONFIRM: which products are sold into the EU, and whether DG ships to the EU only through distributors.]
4. United Kingdom, Canada, and other regions

- United Kingdom (UKCA). Products placed on the Great Britain market may need UKCA marking. Check current rules on whether CE marking is accepted for a product category. [ATTORNEY/COMPLIANCE: confirm the current position.]
- Canada (ISED). Radio and electronic equipment sold in Canada must meet Innovation, Science and Economic Development Canada rules. [CONFIRM: ISED certification number, or the Canadian ICES-003 notice for digital apparatus.]
- Other countries. Some regions need their own approvals (for example, RCM in Australia and New Zealand, UKCA, Japan MIC, Korea KC, or others). We tell you before you buy if we sell a product in a region without local approval. [CONFIRM: whether DG ships to such regions, and what the Ordering & Payment Policy says.]
If you’re importing a product, you’re responsible for knowing and meeting the import, certification, and labeling rules in your country, as stated in our Ordering & Payment Policy.
5. RoHS and similar material restrictions
Some of our products are designed to meet the EU Restriction of Hazardous Substances (RoHS) Directive, which limits substances such as lead, mercury, cadmium, hexavalent chromium, and certain flame retardants and phthalates.
- Products. [CONFIRM: which products are RoHS compliant, and how DG supports the statement, such as supplier declarations, material testing, or a technical file.]
- Exemptions. [CONFIRM: whether any exemptions are used.]
- Related laws. [CONFIRM: whether DG makes statements about other rules, such as EU REACH (substances of very high concern), UK RoHS, China RoHS, or conflict minerals. Only keep those you can support.]
- Not a U.S. mandate. RoHS is not a U.S. federal requirement, but customers often ask for it. We state RoHS status only where it applies.
6. California Proposition 65
[ATTORNEY/COMPLIANCE: READ FIRST. This is the section most likely to lead to a legal claim. Whether DG needs a warning depends on the actual materials in each product, not the product type. Don’t publish either version below until a product-by-product review is done.]
California’s Proposition 65 (the Safe Drinking Water and Toxic Enforcement Act) requires businesses to give a “clear and reasonable” warning before knowingly exposing California consumers to listed chemicals above certain levels. Electronics are often affected because of lead in solder, plastics, and cable coatings, and because of other listed chemicals in some components, batteries, and finishes.
Option A: A warning is needed for one or more products.
WARNING: This product can expose you to chemicals including [lead / listed chemical], which is [are] known to the State of California to cause [cancer / birth defects or other reproductive harm]. For more information go to www.P65Warnings.ca.gov.
[ATTORNEY: use the current safe-harbor wording and format, and name at least one chemical for each endpoint (cancer, and birth defects or reproductive harm) as the regulations require. Use the symbol and the exact warning type for the product. Don’t use generic wording unless the rules allow it for the product category.]
Option B: No warning is needed (supported by testing or review).
Based on our evaluation, our products aren’t expected to expose consumers to listed chemicals at levels that require a Proposition 65 warning. [CONFIRM: only if supported by a documented evaluation, such as supplier data and test results.]
[ATTORNEY: Many companies don’t publish a “no warning needed” statement, since it isn’t required and creates a record that can be challenged. A shorter alternative is to say nothing and keep the evaluation on file.]
7. Batteries, shipping, and other product-safety rules
- Lithium batteries. Products with lithium batteries must meet transport rules (for example, UN 38.3 testing, packaging, and labeling) and are subject to carrier restrictions. See our Shipping & Delivery Policy. [CONFIRM: which products contain lithium batteries and their test summaries.]
- Battery and waste rules. In some regions, battery and electronics rules require marking, take-back, or recycling information (for example, WEEE and the EU Battery Regulation). [CONFIRM: which apply, and whether DG participates in a take-back or recycling program.]
- Electrical safety (e.g., UL or similar). [CONFIRM: whether any DG product or power accessory carries a safety listing. Don’t claim one unless it’s backed by a certificate.]
- Country-of-origin and trade rules. Origin labeling and customs declarations are covered in our Ordering & Payment Policy. [CONFIRM: whether DG makes “Made in USA” or origin claims. These are strictly regulated by the FTC and the states, so they should be reviewed separately.]
8. How to use our products compliantly
- Use our products only as described in the documentation.
- Don’t modify them. Unauthorized modification can void compliance and your authority to operate the equipment.
- Use only the power supplies, cables, and accessories we specify.

Warranty, returns, and support

| Misuse | Using a Product in a way not described in the Documentation, or in a way we reasonably determine is careless, improper, or unauthorized. |
| RMA (Return Merchandise Authorization) | The number our Technical Support issues to authorize and track a return. You must include it with any Product you send back. |

Software and licensing

| OEM Software | Software published by an OEM, usually offered by subscription on that OEM’s service website. We don’t control it. |
| DG OEM Software [CONFIRM] | If DG itself sells software to OEM customers, as mentioned in the Ordering & Payment Policy (“Laptops & OEM software ship only in the USA”), define it separately and rename it to avoid confusion with OEM Software above. |
| Seat License | A license limited to one user or computer. We don’t charge for or limit Seats for our Software. |
| Update | A new version, fix, or patch of Software or Firmware we release. |
| Open-Source Software | Software licensed under terms that allow others to use, modify, and share it. |
Privacy and data

| Pass-through device | A tool that lets OEM software on a computer talk to a vehicle’s ECUs. |
| J2534 (SAE J2534) | A standard for pass-through devices used to program vehicle ECUs. |
| J1939, J1708/J1587, CAN | Common communication networks and standards in medium- and heavy-duty vehicles. CAN is a widely used vehicle network. |
| DTC (Diagnostic Trouble Code) | A code a vehicle stores when it detects a fault. |
| Generic codes | Standard codes any compliant tool can read. |
| Manufacturer-specific codes | Codes and data specific to a vehicle maker, which often require OEM Software. |
| Driver | Software that lets a computer communicate with a connected device. |
| Installer | A program that puts Software on a computer. |
